Setting up Companies
In Romania it is possible to set up companies with various legal forms. The simplest and most advantageous is a SRL (limited liability company). Foreign companies may open a representative or subsidiary office in Romania. For example, the subsidiary is registered in the country where the company has its registered seat and is subsequently registered at the Romanian Registry of Commerce. The subsidiary is treated as a SRL with the difference that it has no share capital and needs no memorandum of association. The mother company is liable with its share capital. The shareholders are the same as the mother company. The taxes on the profit are paid in Romania and the outcome is included in the balance of the mother company. The object of activity of the subsidiary is the same as the mother company, and after the initial registration the company is fully operational.
